CPA New Brunswick Board of Directors Nominations Sought

The Chartered Professional Accountants of New Brunswick (CPA New Brunswick), invites nominations for members to sit on its Board of Directors.

CPA New Brunswick is a self-regulating professional body with more than 2,800 active and retired members, governed by a Board of Directors currently composed of three directors from each of the three legacy bodies, two public representatives and the President & CEO (ex-officio).

In accordance with By-Law 7.01, nominees for the Board of Directors must be members of CPA New Brunswick or any of the legacy bodies (CMA, CGA or CA) with voting rights.

In accordance with By-Law 5.10, at the 2018 Annual General Meeting, one director shall be elected from amongst the constituency of each Legacy Body for terms expiring at the 2021 AGM.

Major Responsibilities of the Board of Directors

The Board is responsible to support the work of CPA New Brunswick and provide mission-based leadership and strategic governance.

While day-to-day operations are led by the President & CEO of CPA New Brunswick, the relationship of the Board of Directors and President & CEO is a partnership, and the appropriate oversight involvement of the Board is both critical and expected.

Each Board Member has a responsibility to:

  • Serve as a trusted advisor to the President & CEO for the development and implementation of CPA New Brunswick's strategic plan
  • Assist the board in carrying out its fiduciary responsibilities, such as:
  • Reviewing the organization's annual financial statements
  • Approving the annual budget, audit reports, and material business decisions of CPA New Brunswick
  • Review the agenda and supporting materials prior to Board and committee meetings
  • Attend all board meetings and functions, such as special events
  • Stay informed about the organization's mission, services, legal, and fiduciary responsibilities
  • Contribute to an annual performance evaluation of the President & CEO
  • Serve on committees or task forces and take on special assignments
  • Act as an ambassador for the organization

This is an opportunity for individuals who are passionate about the mission of CPA New Brunswick and who have a track record of Board participation.

The candidates selected as board Members will have the following competencies:

  • Professional / business experience with leadership abilities in business, government, philanthropy, or the not-for-profit sector
  • A commitment to and understanding of CPA New Brunswick's membership
  • Integrity, and savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals
  • Special consideration will be given to those members who have experience in:
  • Member Engagement
  • Professional Development
  • Regulatory Compliance
  • Research & Advocacy
  • Government Relations

Board Terms/Participation

The Board members of CPA New Brunswick will serve a three-year term and are eligible for re-appointment for one additional term. A Director shall not serve more than 6 years.

Board meetings, besides the Annual General Meeting (AGM), will be held at least quarterly, or at any time or place determined by the Chair or on written request by three directors of the Board and in no case later than thirty days following receipt of such written request. The Board meetings are held throughout the province and as such requires some travelling.

Board members will also be encouraged to participate in at least one of CPA New Brunswick's committees, to be determined based on the needs of the organization and the skills of the member.
